Please read these Terms of Service ("Terms") carefully before using EchoText ("the App", "the Software"). By downloading, installing, or using EchoText, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using EchoText, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App.
2. Description of Service
EchoText is a macOS application that provides:
- Voice-to-text transcription using on-device machine learning
- Audio and video file transcription
- Automatic text insertion into other applications
All speech processing occurs locally on your device. Your audio is not uploaded to our servers.
3. License Grant
3.1 Software License
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install EchoText on devices you own or control
- Use EchoText for personal or commercial purposes
3.2 License Restrictions
You may NOT:
- Share, sell, or transfer your license key to others
- Use one license on more devices than permitted by your license tier
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices or labels
- Use the Software to violate any laws or regulations
- Circumvent any licensing or copy protection mechanisms
3.3 Device Limits
- Personal License: 1 device
- Pro License: Up to 3 devices owned by you
- Team License: As specified in your team agreement
4. Purchases and Payments
4.1 License Fees
License fees are charged as one-time purchases or subscriptions, as indicated at the time of purchase. All fees are in USD unless otherwise stated.
4.2 Refunds
We offer a 14-day money-back guarantee. If you're not satisfied with EchoText, contact [email protected] within 14 days of purchase for a full refund.
4.3 License Validation
EchoText requires periodic internet connection to validate your license. If validation fails:
- You have a 7-day grace period to restore connectivity
- After the grace period, some features may be restricted until validation succeeds
5. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your license key
- Ensuring you have necessary permissions to record audio (e.g., consent from others in recordings)
- Complying with all applicable laws when using the transcription features
- Backing up your own transcriptions and data
6. Privacy and Data
6.1 Local Processing
All audio processing occurs on your device. We do not have access to your recordings or transcriptions.
6.2 Data Collection
We collect limited data as described in our Privacy Policy, including anonymous analytics (which you can disable) and license validation information.
7. Intellectual Property
7.1 Our Rights
EchoText, including its code, design, graphics, and documentation, is owned by us and protected by copyright and other intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
7.2 Your Content
You retain all rights to your transcriptions and any content you create using EchoText. We claim no ownership over your content.
7.3 Feedback
If you provide feedback or suggestions about EchoText, you grant us the right to use that feedback without compensation or attribution.
8. Third-Party Software
EchoText incorporates open-source components and third-party libraries, including:
- WhisperKit - On-device speech recognition (MIT License)
- KeyboardShortcuts - Hotkey handling (MIT License)
- Sparkle - Auto-updates (MIT License)
These components are subject to their respective licenses.
9. Disclaimers
9.1 "As Is" Provision
ECHOTEXT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OF TRANSCRIPTIONS
9.2 Transcription Accuracy
Speech recognition is not perfect. We do not guarantee the accuracy of transcriptions. You are responsible for reviewing and editing transcriptions, especially for critical applications (medical, legal, etc.).
9.3 Accessibility Features
The text insertion feature requires macOS Accessibility permissions. We cannot guarantee compatibility with all applications.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claims under these Terms shall not exceed the amount you paid for your license in the 12 months prior to the claim
- We are not liable for any loss of data, revenue, or profits
Some jurisdictions do not allow these limitations, so they may not apply to you.
11. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from:
- Your use of EchoText
- Your violation of these Terms
- Your violation of any third-party rights
12. Term and Termination
12.1 Term
These Terms remain in effect while you use EchoText.
12.2 Termination by You
You may stop using EchoText at any time by uninstalling the App.
12.3 Termination by Us
We may terminate or suspend your license if you:
- Violate these Terms
- Engage in fraudulent activity
- Attempt to circumvent licensing restrictions
12.4 Effect of Termination
Upon termination:
- Your license to use EchoText ends immediately
- You must uninstall and delete all copies of the Software
- Your local transcriptions remain yours
13. Updates and Modifications
13.1 Software Updates
We may release updates to EchoText that add features, fix bugs, or address security issues. Some updates may be required for continued use.
13.2 Terms Updates
We may modify these Terms at any time. We will notify you of material changes by:
- Displaying a notice in the App
- Updating the "Last updated" date
Continued use after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms are governed by the laws of your jurisdiction, without regard to conflict of law principles. Any disputes shall be resolved in the courts of your jurisdiction.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding EchoText.
15.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
15.3 Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
15.4 Assignment
You may not assign your rights under these Terms. We may assign our rights to a successor or affiliate.
